Terms of Service

1. Acceptance of Terms

By accessing or using the QRCode-Generator platform ("Service"), including our website, APIs, and any associated software or services, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We recommend that you print or save a local copy of these Terms for your records.

2. Account Terms

To use certain features of the Service, you must create an account. When you create an account, you agree to the following:

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for safeguarding your password and for all activities that occur under your account.
  • You must notify us immediately upon becoming aware of any unauthorized use of your account or any other breach of security.
  • You may not use another person's account without their permission.
  • You must be at least 16 years of age to create an account and use the Service.
  • A single person or entity may not maintain more than one free account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.

3. API Terms

Access to and use of the QRCode-Generator API is governed by these Terms and the following additional conditions:

  • You may use our API to programmatically create, read, update, and delete QR codes and related resources within the scope of your account's plan and permissions.
  • API keys are unique to your account and must not be shared, published, or exposed in client-side code. You are responsible for keeping your API keys confidential.
  • Rate limits apply to all API requests. Exceeding your plan's rate limits may result in temporary throttling or suspension of API access.
  • You may not use the API to build a competing product or service, or to resell API access without a written agreement from us.
  • We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will endeavor to maintain backward compatibility where feasible.
  • Abuse of the API, including excessive requests, scraping, or attempts to circumvent rate limits, may result in immediate suspension of access.

4. Payment Terms

Certain features of the Service are available under paid subscription plans ("Paid Plans"). By subscribing to a Paid Plan, you agree to the following:

  • All fees are stated in US Dollars unless otherwise indicated. Fees are exclusive of applicable taxes, which will be added where required by law.
  • Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Payment is due at the beginning of each billing cycle.
  • You authorize us to charge your designated payment method for all fees incurred. If a payment fails, we may retry the charge and/or suspend your access until payment is received.
  • Plan upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the billing period. Plan downgrades take effect at the beginning of the next billing cycle.
  • Refunds are generally not provided for partial billing periods. If you cancel your subscription, you will retain access to the Paid Plan features until the end of the current billing cycle.
  • We reserve the right to change our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following such notice.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to:

  • Create QR codes that link to malware, phishing sites, or any content intended to deceive, defraud, or harm others.
  • Distribute spam or unsolicited communications via QR codes.
  • Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
  • Engage in any activity that disrupts, damages, or impairs the Service or its infrastructure, including denial-of-service attacks.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any computer systems or networks connected to the Service.
  • Use the Service for any illegal activity, including but not limited to money laundering, terrorist financing, or the distribution of illegal substances.
  • Generate content that is obscene, defamatory, threatening, or that promotes violence or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of QRCode-Generator and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the content you upload, create, or generate using the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

QR codes generated through the Service may be used freely by you for any lawful purpose. We do not claim ownership over the QR codes you generate. However, designs, templates, and AI-generated assets provided as part of the Service remain our intellectual property and are licensed to you for use within the scope of your subscription plan.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QRCODE-GENERATOR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

You may terminate your account at any time by using the account deletion feature in your Settings page or by contacting our support team. Upon termination:

  • Your right to use the Service will cease immediately.
  • We will delete your account data within 30 days of termination, except as required to comply with legal obligations or resolve disputes.
  • Dynamic QR codes associated with your account will stop redirecting after account deletion.
  • No refunds will be issued for the remaining period of any Paid Plan.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms. We will use reasonable efforts to provide notice before termination where practicable.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you may terminate your account as described in Section 8.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
